Service Guide
General Provisions & Glossary




Effective 01-January-2007 the following General Provisions (GP) apply with respect to WCS Services:
 
 

 

 

1.0 Applicability of General Provisions

Specific sections of the General Provisions apply with respect to specific Services as described within each Section and as otherwise noted in the Applicability of Section below.
 

 

 

 

2.0 Payment, Billing & Calculation of Charges

 

 


2.1 Multiple Location Billing Option

 

 


Section effective date: 01-January-2007

Under the Multiple Location Billing (MLB) Option, WCS will provide separate bills for multiple locations designated by Customer as MLB locations. Customer is responsible for (a)all orders to add, delete or change service at MLB locations, (b)payment of all charges billed to MLB locations, and (c)compliance by Users at each MLB location with the terms of Customer’s Service Agreement. Usage and/or charges from all MLB locations will be used to determine any applicable discount, and to retire any applicable minimum volume or revenue commitment.
 

 

 


2.2 Fractional Charges and Credits

After the end of any period during which Customer is entitled to rate stability with respect to a particular service or Service Component pursuant to Customer’s Service Agreement, WCS may modify the rates, charges, terms and conditions applicable to such service or Service Component on thirty (30) days’ prior written notice.
 

 

 


2.3 Refunds of Credit Balances

 

 


Section effective date: 01-January-2007

If there is a credit balance on a closed Customer account, WCS may apply such credit balance against any past due balances on any other Customer accounts associated with the same Service Agreement or service as the closed account. Customer will be entitled to a cash refund of any remaining net credit balance.
 

 

 


2.4 Application of Per Minute Rates

 

 


Section effective date: 01-January-2007

When a Service Guide includes usage charges stated as per minute rates, and also sets forth an Initial Period and Additional Period, the per minute rate is prorated based on an Initial Period and an Additional Period. The usage charge for the Initial Period is equal to the per minute rate, multiplied by the number of seconds in the Initial Period divided by 60. The usage charge for each Additional Period is equal to the per minute rate, multiplied by the number of seconds in the Additional Period divided by 60.

For example: If the per minute rate is $0.12, the Initial Period is 18 seconds, and the Additional Period is 6 seconds, then the usage charge for the Initial Period is $0.040 ($0.12 x 18/60) and the usage charge for each Additional Period is $0.012 ($0.12 x 6/60).

The usage charge for each call is equal to the Initial Period rate added to the product of the Additional Period rate multiplied by the number of full or partial Additional Periods by which the call duration exceeds the Initial Period.

Applicability of Section

Applies to any Service having usage charges in per minute rates and subject to a rate formula based on an Initial Period and additional Periods.

Applies to some but not all WCS Service Bureau Services (i.e. applies to Interactive Voice Response (IVR) services
 

 

 


2.5 Application of Call Rounding

 

 


Section effective date: 01-January-2007

(a) For billing purposes, the length of each call is rounded to the next tenth of a minute.

(b) If the computed charge for a call includes a fraction of a cent, the fraction is rounded up to the nearest whole cent unless otherwise specified in the Network Services Agreement.

(c) The computed charge for casual access calls is rounded to the next highest full minute.

(d) If the computed charges for taxes and surcharges include a fraction of a cent, the fraction is rounded up to the nearest whole cent.
 

 

 


2.6 Charges Upon Expiration of Commitment

After the end of any period during which Customer is entitled to rate stability with respect to a particular service or Service Component pursuant to Customer’s Service Agreement, WCS may modify the rates, charges, terms and conditions applicable to such service or Service Component on thirty (30) days’ prior written notice.
 

 

 

 

3.0 General Charges and Fees

 

 


3.1 Regulatory Charges and Surcharges

3.1.1 Universal Service Fund Charge The Universal Service Fund Charge (“USF”) is an undiscountable monthly charge. The USF is equal to Customer’s total net USF-Applicable Charges (as defined below), after application of all applicable discounts and credits, multiplied by the USF percentage. The USF percentage will be equal to the quarterly Universal Service Fund contribution factor established by the FCC (subject to rounding) in effect as of the bill date. The applicable quarterly contribution factor can be found at:

3.1.2 USF Applicable Charges

USF-Applicable Charges consist of all charges for jurisdictionally interstate (including international) Basic Telecommunications Services. Charges for communications or transmissions between two points outside the US are not USF-Applicable Charges.

3.1.3 USF Waiver

WCS will waive the USF with respect to specifically identified USF-Applicable Charges to the extent that Customer demonstrates to WCS’s reasonable satisfaction that:

(a) Customer has filed a Universal Service Worksheet with the Universal Service Administrator covering the twelfth month prior to the month for which Customer seeks the waiver (i.e., to be eligible for a waiver in February 2008, Customer must have filed a Universal Service Worksheet with the Universal Service Administrator covering February 2007) or

(b) Customer was not required to file a Universal Service Worksheet covering such period, either because Customer was not then providing telecommunications services or because Customer was then subject to the FCC's de minimis exception to the FCC's filing requirement; the charges with respect to which the waiver is sought are for services purchased by Customer for resale; and

(c) Customer will file a Universal Service Worksheet with the Universal Service Administrator in which the reported billed revenues will include all billed revenues associated with Customer’s resale of services purchased from WCS for the period during which the waiver is sought.

The USF will not be waived with respect to:

(d) charges for services purchased by Customer for its own use as an end user;

(e) charges for which the bill date is on, prior to, or within thirty days after, the date on which Customer applies for a waiver with respect to those charges; or

(f) charges for services resold by Customer, if Customer (or another provider that buys services directly or indirectly from Customer) is not subject to direct Universal Service contribution requirements.

3.1.4 Application to Certain Rate Plans

Where charges are not identified on a jurisdictional basis, for example, monthly recurring charges for rate plans under WCS Mobility Services, the USF rate will be applied against the amount of the charge that WCS reports as subject to the FCC’s quarterly Universal Service Fund contribution factor.

3.2 South Carolina Universal Service Fee

 

 


Section effective date: 01-January-2007

The South Carolina Universal Service Fee is an undiscountable monthly charge, applied subject to billing availability. The South Carolina Universal Service Charge is equal to Customer's total net intrastate and interstate charges for Service at Customer Sites within the state of South Carolina, after application of all applicable discounts and credits, multiplied by the current State of South Carolina-mandated collection rate. The South Carolina Universal Service Charge is not subject to any waiver or exemption.

Applicability of Section

Applies to all intrastate and interstate charges for Services at Customer Sites within the state of South Carolina.

 

 


3.3 Gross Receipts Tax

 

 


Section effective date: 01-January-2007

When utility or telecommunications assessments, franchise fees, privilege, license, occupational, excise, or other similar taxes or fees, based on interstate receipts or assets are imposed by certain taxing jurisdictions upon WCS or upon LECs and passed on to WCS through or with interstate access charges, the amounts of such taxes or fees will be billed to Customers in such a taxing jurisdiction on a prorated basis. The Gross Receipts Tax applicable to Customer for a given taxing jurisdiction is equal to the current applicable state-mandated Tax Factor, multiplied by the net charges for the Services subject to such taxes or fees provided to and billed to each Customer Site in such a taxing jurisdiction. The bill display name for the Gross Receipts Tax may vary from state to state.

Applicability of Section

Does not apply to Dedicated Internet Access Services (DIA).

Applies to Private Line and Access Services, Service Bureau, Mobility Services, Toll-Free Services, and VPN Service (WCS VPN) only in some circumstances.

Applies to all other Services.

 

 


3.4 Telecommunications Relay Service

 

 


Section effective date: 01-January-2007

The Telecommunications Relay Service is an undiscountable monthly charge comprised of several services including traditional relay services providing translation services between a hearing-impaired or speech-impaired individual using a Text Telephone (“TTY”) and the spoken word of a hearing individual using a voice telephone. Other relay services such as Speech to Speech and Video Relay are also available. TRS is available any day at any time at no extra charge.. For bills dated on or after January 1, 2007, the Telecommunications Relay Service is equal to Customer's total net charges for interstate and international charges for Voice Services, after application of all applicable discounts and credits, multiplied by the current TRS rate.

Applies to all Services providing Basic Telecommunications Services.
 

 

 

 

3.5 Payphone Use Charge

 

 


Section effective date: 01-January-2007

An undiscountable Payphone Use Charge shall apply to each coinless call that WCS identifies as placed from a domestic payphone, either to a Customer Toll-Free Number or by Customer or a User to an access code.

3.5.1 The Public Payphone Surcharge applies to the following types of calls:

The Public Payphone Surcharge applies to the following calls placed from a public or semi-public payphone that are paid for by means other than depositing coins into the payphone:

(a) Calls billed to a third number, collect calls, calls billed to a calling card, calls to WCS Directory Assistance, WCS “00” + dialed calls, calls completed via WCS Directory Assistance Complete Service

(b) WCS Toll-free 8XX Service calls

3.5.2 The Public Payphone Surcharge does not apply to the following types of calls:

(a) Calls paid for by depositing coins into the public or semi-public payphone

(b) Calls placed from stations other than public or semi-public payphones

(c) Telecommunications Relay Service calls.

3.5.3 Billing of the Public Payphone Surcharge is based on the following:

(a) The Public Payphone Surcharge is applied in addition to all other applicable Service Charges or Surcharges

(b) Discounts offered by WCS discount plans and promotions will not apply to the Public Payphone Surcharge

(c) Other charges listed under Miscellaneous Charges, Credits and Taxes may apply.
 

 

 

3.6 State Universal Service and Regulatory Fees

 

 


Section effective date: 01-January-2007

When a state, state agency or political subdivision of the state imposes a regulatory fee or assessment SUCH AS, BUT NOT LIMITED TO, STATE UNIVERSAL SERVICE, 911 OR PUBLIC UTILITY FEE on WCS or WCS services in connection with the services provided to Customer, the amounts of such fees or assessments will be billed to Customers in such a taxing jurisdiction BASED ON PLACE OF PRIMARY USE.

When a state, state agency or political subdivision of the state imposes upon WCS the obligation to bill and collect a regulatory fee or assessment SUCH AS, BUT NOT LIMITED TO, STATE UNIVERSAL SERVICE, 911 OR PUBLIC UTILITY FEE from Customer in connection with the services provided to Customer by WCS, the amounts of such fees or assessments will be billed to Customers in such a taxing jurisdiction BASED ON PLACE OF PRIMARY USE.

Applicability of Section

Applies to all Services where the relevant taxing jurisdiction imposes the obligation to collect such charges.

 

 


3.7 Taxes

3.7.1 The Company's charges for services provided to you do not include:

(a) applicable federal, state, local, and foreign sales, use, excise, utility, gross receipts and value added taxes;

(b) benefits of a promotion offered by the Company involving services or goods of a third party;
 
(c) other taxes;
 
(d) tax-like charges to recover amounts the Company is required by a governmental or quasi-governmental authority to collect from others or pay to others in support of statutory or regulatory funds or programs;

(e) other tax-like charges; and

(f) a tax-related surcharge imposed on all charges (net of bad debts) for outbound service originating in, or inbound service terminating in a jurisdiction which levies, or asserts a claim of right to levy:

(g) a gross receipts tax, a license tax, or other tax-like charge on the Company's operations in that jurisdiction based on the Company's gross receipts, revenues or operations in that jurisdiction; or

(h) a tax on interstate access charges incurred by the Company for access to telephone exchanges in that jurisdiction based on the amount paid for interstate access charges in that jurisdiction; or

(i) an ad valorem tax on the Company's property located in that jurisdiction which is used in providing interstate or international service, the amount for which is derived by multiplying the ratio of interstate plus international revenue in the jurisdiction's state to total revenue in that state times total ad valorem taxes imposed on the Company in that state during the current calendar year.

(j) All taxes, tax-like charges, and tax-related surcharges are referred to collectively as Taxes. The Company may elect to impose and collect such Taxes, unless otherwise constrained by court order or direction. The Customer agrees to pay all Taxes imposed.

3.7.2 If the Company has collected Taxes and a challenged Tax is found to have been invalid and unenforceable, the Company, in its sole discretion, will either reduce service rates for a fixed period of time in the future in order to flow-through to customers an amount equivalent to the amounts collected, or

(a)it will credit or refund such amounts to affected customers (less its reasonable administrative costs), if the amounts collected were retained by the Company, or

(b) if they were delivered over to the jurisdiction and returned to the Company, or

(c) it will negotiate an arrangement with the jurisdiction to provide a future benefit for customers in that jurisdiction.

3.7.3 If the Customer provides the Company with a duly-authorized tax exemption certificate, the Company will exempt the Customer in accordance with law, effective on the date the Company receives the certificate. Taxes based on the Company's net income will be the Company's sole responsibility.

3.7.4 If the Customer is required by the laws of any foreign tax jurisdiction to withhold income or profit taxes from a payment, within 90 days of the withholding, the Customer will provide the Company with official tax certificates documenting remittance of the taxes. The tax certificates will be in a form sufficient to document qualification of the taxes for the foreign tax credit allowable against the Company's U.S. corporation income tax, and will be accompanied by an English translation. Upon receipt of the tax certificate, the Company will issue the Customer a credit for the amounts represented thereby.

3.7.5 Additional Surcharges: The Company may adjust its rates and charges or impose additional rates and charges in order to recover amounts it is required or permitted by governmental or quasi-governmental authorities to collect from others or pay to others in support of statutory or regulatory funds, fees, or programs (Governmental Charges).

Examples of such Governmental Charges include, but are not limited to:

(1) Universal Service funding, utility and other fees imposed on communications providers

(2) Primary Interexchange Carrier Charge cost recovery

(3) Compensation payable to payphone service providers for use of their payphones to access the Company's service.
 

 

 


3.8 Miscellaneous Charges

3.8.1 Presubscribed Interexchange Carrier Charge (PICC) The PICC is a monthly recurring charge applied for each outbound long distance switched access line, as provided in Rate Table PICC-1. The line status termination is based on available WCS and/or LEC-provided information. If WCS cannot determine the line status based on available WCS and/or LEC-provided information, the multi-line charge applies.

3.8.3 Universal Cost Recovery Mechanism (UCRM)

 

 


Section effective date: 01-January-2007

The UCRM is an undiscountable monthly charge, applied subject to billing availability. For bills dated on or after January 1, 2007, the Administrative Expense Fee is equal to Customer’s total net Charges multiplied by 1.79%.

The UCRM fee recovers a portion of WCS’s internal costs associated with a combination of pass-through costs from underlying carrier equipment/ plant taxes, regulatory fees and municipality costs that cannot be invoiced in a traditional line item basis.This charge is not utilized to recover overhead costs of regulatory compliance.

Applies to all Services providing Basic Telecommunications Services.

 

 

 


3.8.4 Unauthorized Carrier Change Charge

 

 


Section effective date: 01-January-2007

(a) If WCS receives a complaint that Customer (or a tele-communications carrier on whose behalf Customer has acted) has caused a change in a telecommunications subscriber’s preferred carrier without prior valid authorization;

(b) Customer has submitted an order to change the subscriber’s preferred carrier, and

(c) Customer fails to provide adequate proof of authorization for that carrier change within fifteen days after WCS makes a written request, Customer will be required to pay an Unauthorized Carrier Change Charge of $150.00 for each such PIC change order.

(d) The Unauthorized Carrier Change Charge applies for each un-authorized order, per billed telephone number.

3.8.5 Return Check Fee

A Return Check Fee may be applied to Customer’s bill for each occasion that a check, bank draft, or an electronic funds transfer item is returned for the reason of insufficient funds or no account.

3.8.6 Duplicate Bill Charge

 

 


Section effective date: 01-January-2007

Subject to Company retention policies, availability of the bill(s), and ability of the Company to retrieve the bill(s), a Customer may request a paper copy of their bill(s).Subject to billing system or other limitations, a Duplicate Bill Charge of $50.00 per requested invoice may apply upon a Customer’s request for duplicate copies of their telephone bill(s) in accordance with the charges specified following, unless stipulated differently in the Customer’s Service Agreement. This service will be available where billing and technology exist.

The Duplicate Bill Charge, as specified above, will not be applied in the following instances:

(a) When a Customer is currently subscribing to a service to receive additional copies of their bills;

(b) When Customers request a copy of the bill because of non-receipt of an initial bill after new connect, transfer or change of address orders;

(c) When Customers have not received a bill due to Company error in the address of the bill;

(d) When a Customer requests a copy of the current monthly bill or final bill

3.8.7 Restoration of Service Fee

 

 


Section effective date: 01-January-2007

Where allowed by law, WCS will implement a service fee for restoration of service where delinquency has caused an interruption. This fee will be applicable to each Customer account per billing address that is being restored and will be included on the Customer’s monthly billing statement.

3.8.8 Access Arbitrage Fee

 

 


Section effective date: 01-January-2007

The Access Arbitrage Fee applies if Customer engages in Access Arbitrage.

Using any service provided by WCS in connection with Access Arbitrage is considered an abuse and is prohibited. Access Arbitrage is a scheme or device to profit by exploiting differences between the cost of originating or terminating access (as charged to interexchange or international carriers) and the pricing of long distance service provided by WCS.

Access Arbitrage Fee includes:

(a) Using switching equipment or a call processing system (such as a predictive dialer, tandem switch, prepaid card/calling card, IVR or teleconferencing platform) to segregate calls and systematically route to WCS calls that are characterized by a greater discrepancy between the access costs and the price charged by WCS.

(b) Using WCS Voice Services as a substitute for, or to avoid, terminating switched exchange access obtained from local exchange providers, for the termination of domestic calls originated over the network of another carrier (through 1+ access, special access (i.e. dedicated T-1/T-3/OC-n), carrier access code dial around, or otherwise) or routed through a call processing system; provided that:
  1. the percentage of High Cost minutes routed to WCS using the service is more than 20%, or
  2. calls are segregated within the other carrier’s network or
  3. the call processing system and the calls with greater discrepancy between the access costs and the price charged by WCS are systematically routed to WCS.

(c) Transporting intrastate or intra-country traffic into a different state or country in order to cause the traffic to be rated by WCS at a lower rate than would otherwise apply.

(d) If WCS reasonably suspects that a service provided under this Service Guide is being used in connection with Access Arbitrage, Customer will permit WCS to inspect the premises from which the calls originate (as reflected in WCS’ records) and will cooperate reasonably with WCS’ efforts to investigate the manner in which calls are being routed to WCS.

For purposes of this provision:

(e) “High Cost Calls” are calls that terminate at numbers for which the terminating switched exchange access cost per minute exceeds $0.025 (or the benchmark rate for Competitive Local Exchange Carrier’s interstate switched exchange access services established by the applicable state public service commission or FCC, if lower than $0.025).

(f) The terminating switched exchange access cost per minute will be the sum of the per minute charges imposed by the terminating Local Exchange Carrier, plus the prorated portion of all other charges imposed by the terminating Local Exchange Carrier for terminating switched exchange access, expressed on a cost per minute basis.

(g) If the percentage of High Cost minutes routed to WCS using the service is more than the percentage set forth above, and WCS’ investigation shows that any such calls are originated over the network of another interexchange carrier or routed through a call processing system, then all such calls will be presumed to be Access Arbitrage.

(h) If Customer violates this provision, the Access Arbitrage Fee will apply. In addition, WCS may restrict, suspend or discontinue Customer’s use of any service used in connection with Access Arbitrage if Customer fails to cure a violation of this provision within ten (10) days after WCS provides notice of such violation to Customer. Further, WCS may delay or suspend conversion to another WCS service arrangement of any facility used to provide a service in violation of this provision.

(i) The Access Arbitrage Fee is $0.04 for each minute of use of long distance service for High Cost Calls in excess of 20.0% of minutes of use billed per monthly billing period.

Applicability of Section

Does not apply to WCS Mobility Services, Voice over IP Services (WCS VoIP) and VPN Services (WCS VPN).

Applies to all other Services.
 

 

 


3.9 Payment of Taxes

(a) All taxes, tax-like charges, and tax-related surcharges are referred to collectively as Taxes. The Company may elect to impose and collect such Taxes, unless otherwise constrained by court order or direction. The Customer agrees to pay all Taxes imposed.

(b) If the Company has collected Taxes and a challenged Tax is found to have been invalid and unenforceable, the Company, in its sole discretion, will either reduce service rates for a fixed period of time in the future in order to flow-through to customers an amount equivalent to the amounts collected, or

(c) it will credit or refund such amounts to affected customers (less its reasonable administrative costs), if the amounts collected were retained by the Company or if they were delivered over to the jurisdiction and returned to the Company, or it will negotiate an arrangement with the jurisdiction to provide a future benefit for customers in that jurisdiction.
 

 

 

 

4.0 Service Availability


Section effective date: 01-January-2007

Service is provided subject to availability of suitable Service Components. WCS will determine which Service Components shall be used and may make modifications to Service Components at its option. Communications to or from a foreign country or area, or routed through a foreign country or area, may be subject to restrictions as may be enforced from time to time by the authorities in that country or area.

Unless applicable local law or regulation mandates otherwise, WCS may discontinue providing a service to Customers upon twelve (12) months written notice, or a Service Component upon one hundred and twenty (120) days written notice.

5.0 Basic Services and Rates

 

 





Section effective date: 01-January-2007

Set forth below are WCS's basic rates for listed services. The rates in sections 5.1 to 5.5 below may not apply if the Customer has enrolled in an optional calling plan at negotiated rates contained in the Customer’s Network Services Agreement, but the rates in sections 5.6 to 5.9 and 3.0 will apply regardless of any optional calling plan in which the Customer has enrolled.

5.1 Direct Dial Domestic 1+: This service allows the Customer to place a long distance call to any location within the U.S. mainland, Alaska, Hawaii, or the U.S. territories, from its Business telephone number(s) that are pre-subscribed to WCS for long distance service and that are located within the city or cities in which the Customer maintains an active account with WCS.

Per minute rate: $0.15

5.2 International 1+ Services: This service allows the Customer to place a long distance call to an international location. The Customer may find international rates and charges by calling WCS Customer Service toll-free at 1-888-940-5600on or at WCS's website at:
 

The Customer may place a call to an international location from the Customer's business telephone by dialing 011 + country code + telephone number for countries other than Canada and certain Caribbean areas, or by dialing 1 + area code + telephone number for Canada and certain Caribbean areas, provided the Customer's business telephone is located within the U.S. mainland, Alaska, Hawaii, or the U.S. territories and the called number is outside the U.S. mainland, Alaska, Hawaii, or the U.S. territories.

5.3 Basic In-State Dial 1 Long Distance and IntraLATA Local Toll: This Agreement applies to in-state long distance and local toll calls in those states that do not regulate rates through filings with the state public utility commission. Rates vary among such states and are subject to change, so the Customer should contact WCS for specific rate information. Current basic in-state Dial 1 rates in such states do not exceed $0.25 per minute.

5.4 Basic Travel Card: Customers can access the service by dialing a WCS-provided toll free number assigned under this service. Subscribers may originate calls from either touch-tone or rotary phones. (Calls originating from rotary phones will be completed with the assistance of operators and at an additional charge.)

State-to-State Per-Minute Rate: $0.25

The Customer places a Company-issued calling card call without using WCS's operator services: $0.99.

In those states referenced in 5.3 above, for Direct Dial in-state long distance and local toll calls made by a Customer using the Customer's Company-issued calling card, rates and surcharges vary by state and are subject to change. The Customer should contact WCS for specific rate information. For such calling card calls, current basic rates do not exceed $0.25 per minute and current in-state surcharges do not exceed $0.99 per call.

Station-to-Station: The Customer uses WCS's operator services to place a Company-issued calling card call to reach another number and the call is billed to the Customer's Company-issued calling card: $2.25

Person-to-Person: The Customer uses WCS's operator services to place a Company-issued calling card call to reach a specific person and the call is billed to the Customer's WCS-issued calling card only if the specific person is available: $4.90.

5.5 Basic Business 800: This is part of WCS's Basic Services and its Optional Calling Plans, provides a toll free number to receive calls from any point within the U.S. mainland, Alaska, Hawaii, or the U.S. territories. The Customer may have multiple Private 800 numbers per account. For each Private 800 account, WCS will provide to the Customer an 800 number and a 4-digit security code, with which the Customer can receive incoming domestic calls for which the Customer will be charged at the per minute rate below. WCS has the exclusive right to determine the terminating locations for Private 800 numbers. Private 800 Customers share access on the same 800 number based on PIN and, thus, may not retain use of the 800 number if Private 800 service is terminated.

State-to-State Per-Minute Rate: $0.15

In those states referenced in Paragraph 5.3 above for in-state long distance and local toll calls placed to a Customer's Private 800 service number, rates vary by state and are subject to change. The Customer should contact WCS for specific rate information. Current rates for such calls do not exceed $0.40 per minute.

5.6 Directory Assistance: The Customer may access Directory Assistance (DA) by dialing 1 + area code + 555-1212. A charge will be applied to each call for information for any telephone number in the US Mainland, Alaska, Hawaii, the U.S. territories, and certain international locations. One request may be made on each DA call. The DA charge applies to each call regardless of whether or not the DA operator is able to furnish the requested telephone number.

Directory Assistance Per-Call Charge: $2.49

Additional Per-Call Charge for Call Completion: The Customer requests a live or automated Company operator to complete a call to the DA listing requested: $1.99.

Directory Assistance for International Location Calls: Service is accessed by dialing 00. This connects the Customer with a Company operator who will assist the Customer in obtaining directory assistance in countries outside of the U.S. For all countries outside of the U.S. (except Canada): $4.99. For Canada: $2.49

5.7 Operator Assistance: The following rates and surcharges apply to long distance calls that are completed with the assistance of WCS's automated or live operator services, except that the surcharges do not apply for calls to certain international locations that may be reached only with the assistance of operator services for a list of such international locations call WCS Customer Service toll-free at 1-888-940-5600). These operator services options can be accessed by dialing 00 or by dialing 0 + the interstate long distance area code + the 7-digit number. Per-Minute Rate for all calls identified in this section is $0.99.

A Per-Call Surcharge of $4.99 applies to each of the following types of calls:

Station-to-Station: The Customer places a call by using WCS's operator services to reach another number and the call is billed to the originating number.

Station-to-Station Collect: The Customer places a call by using WCS's operator services to reach another number, and, if accepted by the called station, the call is completed and billed to the called number.

Station-to-Station Third Party-Billed:The Customer asks WCS's operator services to place a call to reach one number and to bill the call to a third number which is neither the originating nor the called number. Charges may be billed, and the call may be completed, only if the operator obtains verbal acceptance from the third party.

Station-to-Station Non-WCS-Issued Card Calling: The Customer places a call by using WCS's operator services to reach another number, and asks that the call be billed to the Customer's credit card or a local calling card issued by a local telephone company.

Person-to-Person Non-Company-Issued Card Calling:The Customer places a call by using WCS's operator services to reach a specific person, and asks for the call to be billed to the Customer's credit card or a local calling card issued by a local telephone company. If that person is available, the call is completed and billed to that credit card or non-Company-issued calling card.

A Per-Call Surcharge of $6.50 applies to each of the following types of calls:

Person-to-Person: The Customer places a call by using WCS's operator services to reach a specific person, and, if that person is available, the call is completed and billed to the originating number.

Person-to-Person Collect: The Customer places a call by using WCS's operator services to reach a specific person, and, if the specific person is available and accepts the call, the call is completed and billed to the called number.

Person-to-Person Third Party-Billed: The Customer asks WCS's operator services to place a call to reach a specific person and to bill the call to a third number, which is neither the originating nor the called number. Charges may be billed, and the call may be completed, only if the person is available and if the operator obtains verbal acceptance from the third party.

A Per-Call Surcharge of $2.00 applies to the following type of call:

Coin-Sent Paid Calls: The Customer places a long distance call to a number at a location in the U.S. mainland, Alaska, Hawaii, or the U.S. territories and makes the call from a public or semi-public payphone located in the U.S. mainland, Alaska, Hawaii, or the U.S. territories, which call is paid for by inserting coins during the progress of the call.

The following Per-Call Surcharges also may apply to calls using WCS's operator services and, if applicable, will be applied in addition to the above surcharges:

Operator Dialed: The Customer uses a live WCS operator to dial the call. (This surcharge does not apply to WCS-issued calling card calls or to non-WCS-Issued Card Calling.)

Station-to-Station or to Non-Company-Issued Card Calling: Person-to-Person, (as identified above): $1.55

Casual Calling Surcharge: This surcharge applies to all calls made with the following three conditions:

(a) by accessing WCS's network via Casual Calling (see paragraph 5.22.5);

(b) with a non-WCS-issued calling card or a credit card;

(c) by using WCS's operator services; and

(d) to all calls made with the following two conditions:

(1) when examples II.3.9.2 and II.3.9.3 apply; and

(2) by using WCS's operator services: $2.50

Different rates may apply for operator service-assisted calls considered local or intra-LATA calls. The Customer should contact WCS for specific rate information.

5.8 Basic Minimum Monthly Charge: In any month, WCS will bill the Customer a minimum of up to $9.95 for the Customer's total usage charges for any or all of the Basic Services in paragraph 5.0.1 to 5.0.12. If in any month the Customer's total usage charges for any or all of such Basic Services are less than $50.00, WCS will bill the Customer an additional amount for the difference, so that the Customer's total usage charges for any or all of such Basic Services for that month are equal to the $9.95 monthly minimum charge.

5.9 Casual (Non-Account) Calling: Casual rates, as set forth in the paragraph below, will be charged when calls are completed over WCS's network and the caller does not have an active account with WCS.

Examples of the situations when Casual rates will be charged include, but are not limited to, the following:

5.9.1 If the Customer signs up for WCS service by contacting the Customer's local telephone company, but the local telephone company fails to notify WCS of the Customer's selection.

5.9.2 If the Customer's local telephone company notifies WCS that the Customer has requested cancellation of its WCS service, or if the Customer or the Customer's local telephone company has otherwise provided assurances to WCS that the Customer has switched carriers, WCS will cancel the Customer's service account.

5.9.3 If after cancellation resulting from the Customer providing assurances to WCS that the Customer has switched carriers, the Customer's telephone line actually remains designated to WCS at the local telephone company's switch, then, beginning 30 days after cancellation, the Customer will be charged Casual rates for calls placed on WCS's service network.

5.9.4 Casual rates will apply when a Customer dials an access code (101xxxx) before placing a long distance call from a telephone that is not associated with an active account with WCS.

Domestic Casual calling is billed at the following rates:

Per-Minute Rate: $0.15

Per-Call Surcharge: $1.99

In-State Surcharge (where applicable): $1.99

If, after accessing WCS's network via Casual calling, the Customer places a call using WCS's operator services, the Casual calling per-minute rate and per-call surcharge will not apply, but the per-minute rate and the applicable surcharge(s) as set forth in section 5.7 will apply.

If the Customer believes that the Customer is being charged Casual rates and surcharges in error, the Customer should contact a Company Customer Service representative immediately. If these rates are being charged due to an error caused by WCS, the Customer's local telephone, or some other cause beyond the customer’s control, the customer will receive appropriate credits.
 

 

 

6.0 Transfer or Assignment

Service, including any associated telephone numbers, may be transferred from Customer to another party only to the extent permitted by applicable laws, rules and regulations, and if

(a) both WCS and Customer consent to the transfer,

(b) the proposed new customer satisfies the WCS eligibility criteria for the service and any WCS deposit conditions, and

(c) both current Customer and the proposed new customer sign WCS's specified Transfer of Service Agreement form available to Customer through its WCS sales representative).

The WCS Transfer of Service Agreement may require the new customer to assume all of current Customer's obligations and current Customer to remain jointly and severally liable for any obligations relating to the pre-transfer period.

Applicability of Section

Does not apply to WCS Mobility Services, RESPORG or Service Bureau Services.

Applies to all other Services.
 

 

 

 

7.0 Agency Agreement

Customer may appoint one third party to act as Customer's agent for purposes of ordering service or receipt of bills from WCS, by providing WCS written authorization of the agent to act on Customer's behalf. If directed by Customer, the bill will be sent to the agent. Customer will be responsible for all charges for service ordered by the agent and all acts and omissions of the agent.

Applicability of Section

Does not apply to WCS Mobility Services.

Applies to all other Services.
 

 

 

8.0 Fraud, Abuse and Misuse

 

 


8.1 Termination, Restriction or Suspension of Service for Fraud, Abuse or Misuse

Fraud, abuse and misuse of WCS service are prohibited. WCS may immediately suspend, restrict or terminate the provision of service, in whole or in part, and may deny requests for additional service or initiate other appropriate action, if it suspects fraud, abuse or misuse by Customer, Users, or third parties, or if it determines that an unusually high volume of calls is being placed on Customer’s account in any 24 hour period. The following are some examples of fraud, abuse and misuse of service:

(a) Using fraudulent means to avoid payment of charges, or to defraud WCS in other ways, including, but not limited to: fraudulent means or devices, tricks, schemes, false or invalid numbers, false credit devices or electronic devices to defraud or mislead WCS, customer, users or callers.

(b) Using or accessing WCS services, or attempting to do so, without Customer’s authorization.

(c) Using WCS’s Marks in any manner without the advance written consent of WCS.

(d) Using WCS service to make calls or other communications that might reasonably be expected to frighten, abuse, torment, or harass others.

(e) Engaging in activities that harm or threaten to harm the network, services, facilities or personnel of WCS or WCS's suppliers.

(f) Engaging in activities that interfere unreasonably with the use of WCS service by others, including, but not limited to interfering with the facilities, wireless network, or WCS Mobility Services as to impair the quality of service provided to any other WCS Customer or user of Enterprise Mobility Services.

(g) Using equipment or systems not compatible with the Service or non-compliant with Part 68 of the FCC Rules.

(h) Using Toll-Free Numbers in a manner that violates applicable pay-per-call, anti-hoarding, brokering or Industry number administration laws or regulations, or acquiring or seeking to acquire any Toll-Free Number for the primary purpose of selling, or releasing for consideration, that Toll-Free number to another party. Upon notice to Customer, WCS may recover any Toll-Free Number that is not placed in actual and substantial use.

(i) Using Toll-Free Service for "mass calling applications", without a prior written agreement between Customer and WCS expressly allowing specifically described "mass calling applications". A “mass calling application” is an application that generates over one million calls to a Toll-Free Number in any one hour time period (including, for example, mass-volume inbound calling applications associated with events, promotions, polls, surveys, television or radio shows).

(j) Failure to obtain access lines with capacity adequate to handle Customer's use of a Service.

(k) Artificially stimulating calling or other usage volumes to: (a)any number advertised or intended for accessing information programs and services, including but not limited to chat lines or Audio text programs (“Audio text”); (b)routing codes or international area or city codes reserved or used by the subject telecommunications administration for Audio text; (c)special routing codes, telephone numbers, or locations for which the cost of call termination is higher than that incurred for terminations to other parts of the same jurisdiction or locale; or (d)telephone numbers or service arrangements where the party causing the artificial stimulation derives revenues or other financial benefit from, or is compensated based upon said calling or other usage volumes in a capacity other than as a communications carrier, or if acting as a communications carrier, earns a surcharge or similar increment (or an entity with a common financial interest with the party stimulating the traffic earns a surcharge or similar increment) merely by virtue of the termination of such calls. Such artificial stimulation may include, but is not limited to, use of electronic or other automatic means to generate such call volumes, or hiring of agents or contractors principally to make calls or otherwise generate usage to such numbers or types of services, but does not, without more, include advertising or promotion of Audio text or similar programming to stimulate calling by third parties with no financial or other beneficial interest in the service or called program.

(l) Sending calls identified as Mobile Terminated Calls, or as another termination type to which a surcharge or other differential rate for termination applies, when the called station or termination point is not in fact Mobile Terminated, or the termination type as to which the surcharge or other differential rate applies.

(m) Fraudulently replicating a mobile device and its unique network identifiers to make unauthorized call thereby generating fraudulent usage charges (“cloning fraud”). If any mobile device fails authentication tests, WCS may consider that mobile device to be subject to cloning fraud.

(n) Using Mobility Services in a manner prohibited by the WCS Mobility Service Guide.

(o) Fraudulently passing or attempting to fraudulently pass a name or telephone number not associated with the calling party, including as a means to obtain name and number information for the improperly passed name or telephone number, is an abuse of WCS service. Customer is liable to WCS for WCS’s costs resulting from any such violation.

8.2 Usage Limits

8.2.1 WCS may establish commercially reasonable usage limits for Customer. WCS may also establish usage limits at any time if Customer’s financial condition cannot be verified or if Customer is not reasonably creditworthy. If Customer exceeds such usage limits, WCS may, without incurring any liability, immediately restrict, suspend, or discontinue the provision of service to Customer, upon written notice.
 

 

 


8.3 Automatic Number Identification/Charge Number Service

When Customer obtains a telephone subscriber's information through Automatic Number Identification or Charge Number Service, Customer must comply with the regulations adopted by the Federal Communications Commission regarding the use and sale of information derived from Automatic Number Identification or Charge Number Services, including the following:

8.3.1 Customer is permitted to use the telephone number and billing information for billing and collection, routing, screening and completion of the originating telephone subscriber’s call or transaction, or for services directly related to the originating telephone subscriber’s call or transaction

8.3.2 Customer is prohibited from reusing or selling the telephone number or billing information without first (a)notifying the originating telephone subscriber and (b)obtaining the affirmative consent of such subscriber for such reuse or sale

8.3.3 Customer is prohibited from disclosing, except as permitted by above, any information derived from the Automatic Number Identification or Charge Number Service for any purpose other than:

(a) performing the services or transactions that are the subject of the telephone subscriber's call,

(b) ensuring network performance security and the effectiveness of call delivery,

(c) compiling, using and disclosing aggregate information, and

(d) complying with applicable law or legal process

Applicability of Section

Applies to all Services where Customer obtains a telephone subscriber’s information through Automatic Number Identification (ANI) or Charge Number Service.

 

 

8.4 Compliance with Telephone Disclosure and Dispute Resolution Act (TDDRA)

Customer must comply with Titles II and III of the Telephone Disclosure and Dispute Resolution Act (Pub. L. No.102-556) (TDDRA) and the regulations prescribed by the Federal Communications Commission and the Federal Trade Commission pursuant to those Titles.

Applies to all Services which provide billing to telephone subscribers which include charges for any interstate, pay-per-call service.
 

 

 

8.5 Acceptable Use Policy

8.6 Use of IP Addresses and Domain Names

Except for IP addresses and domain names expressly registered in Customer’s name, all IP addresses and WCS-based domain names shall remain, at all times, property of WCS and shall be nontransferable. Customer shall have no right to use such IP addresses or WCS–based domain names upon termination of the applicable Service Component.

Applies to all Services that require the use of an IP address or WCS based domain name.
 

 

 

9.0 Connections

9.1 Responsibilities of Customer

Customer is responsible for any equipment or services not provided by WCS and connected to services provided by WCS. Any equipment or services connected to services provided by WCS must comply with WCS’s interface requirements and with Part 68 of the F.C.C. Rules (47 C.F.R. Part 68), to the extent applicable.

9.2 Testing and Maintenance

If a trouble condition occurs, Customer must determine if the fault is in the equipment or services not provided by WCS. WCS will test and maintain only service provided by WCS. WCS testing of service usually will be performed remotely.

If WCS does dispatch a repair person, at Customer's request, to the Customer Site to perform tests or repairs in connection with a Customer-reported trouble, and testing discloses that the WCS service is working correctly, then a Maintenance of Service Charge or other administrative charge may apply.

9.3 Changes

WCS is not responsible to Customer or any other party if a change in WCS's Service Components, operations, or procedures,

(a) affects any equipment or services provided by others, or

(b) requires their modification or upgrade in order to be used with WCS service.

WCS is not obligated to alter or modify WCS service because of additions or changes to equipment or service not provided by WCS.

10.0 Installation and Site Access

10.1 Installation

Service will be installed subject to the availability of installation personnel, network capacity, site readiness, site environmental safety, equipment, and connections to services furnished by other providers. WCS reserves the right to not install Service Components in locations WCS considers to be unduly hazardous.

10.2 Floor Space, Conduit and Electrical Power at Customer Site

Customer must provide appropriate equipment space, supporting structure, conduit and electrical power required to terminate service at a Customer Site without charge to WCS.

10.3 Site Access

Customer is responsible for arranging access to Customer Sites at any reasonable time so WCS may install, repair, maintain, inspect, or remove Service Components.

Does not apply to WCS Mobility Solutions.

11.0 WCS Customer Provided Equipment (CPE)

WCS may provide WCS CPE for the purpose of enabling WCS to provide service to Customer. WCS may file statements with appropriate government agencies to reflect its ownership of the WCS CPE.

At Customer Sites where WCS CPE is installed, Customer will provide (at no charge to WCS):

(a) an equipment room environmentally compliant with local laws and other environmental conditions as specified by WCS;

(b) reasonable access to the WCS CPE at times specified by WCS;

(c) adequate work space, heating/cooling, light, ventilation, and electrical outlets; and
 
(d) where required for WCS to provide service, an analog telephone line for connection to the diagnostic modem, and/or attachments to Customer's internal network.

When WCS CPE is no longer needed to enable WCS to provide service at a Customer Site, WCS may direct Customer to either return the WCS CPE to WCS or make the WCS CPE available for removal by WCS. WCS CPE must be in the same condition as originally installed, ordinary wear and tear excepted. WCS will not be obligated to restore the Customer Site to its original condition. Customer will be liable for repair charges or the then-current market value of any WCS CPE that is damaged or lost.

Main Billed Account

The account associated with Customer's service to which charges for Long Distance Voice calls are billed.

The geographic area within Mexico generally identified in the Mexican Service Area Table.

MIS

Managed Internet Service

Mobile Terminated Call

A call that terminates over mobile access or a similar arrangement (or uses a routing code established for mobile access or similar arrangements).

NPA

Numbering Plan Area – The three-digit number, commonly referred to as the Area Code, associated with telephone numbers in the United States, Canada, or the Caribbean, and established in accordance with the North American Number Plan. NPA may also refer to the geographic area served by the same Area Code.

Packet Service Capabilities

Packet Service Capabilities include ATM and Frame Relay Service.

PBX

Private Branch Exchange – a form of telephone system installed at a Customer Site that switches calls between on-site users and external connections.

Point-of-Connection

A WCS POP where a private line service may be connected with services provided by others to Alaska or to international locations.

POP

Point of Presence – a location at which a service provider provides access to its network. A location may be a WCS POP for one or more purposes.

Private Line Service
Capabilities

Private Line Services that are primarily comprised of private lines between WCS POPs in the US (such as WCS ACCUNET T1.5 Service) or international private lines between an WCS POP in the US and a Customer Site outside the US (such as WCS International Full-Channel Service), as described in a particular Service Guide.

PVC

Permanent Virtual Circuit – a Service Component used in the provision of ATM and FRS.

RespOrg

Responsible Organization – the entity chosen by a toll-free subscriber to manage and administer the appropriate records in the toll-free Service Management System for the toll-free subscriber.

RNA

Ring-No-Answer – a call that rang through to the destination, but was un-answered.

Service Agreement

The contract under which WCS provides service to Customer.

Service Capability

A capability of a particular WCS service. For example, see WCSVoice, WCSData, and WCSIP Service Capabilities

Service Component

An individual component of a WCS service provided under the Service Guide. For example see WCS Voice, WCS Data and WCS IP Service capabilities.

State Tariff

The standard WCS service descriptions, pricing and other provisions filed by WCS (or its affiliate) with the appropriate regulatory commission having jurisdiction respecting an intrastate WCS service, as revised by WCS (or its affiliate) from time to time. In the event a State Tariff is withdrawn, or tariffing is no longer permitted or required by the appropriate regulatory commission, references to the State Tariff shall be deemed to refer to the corresponding applicable provisions of the WCS Service Guide.

US

The fifty United States, the District of Columbia, Puerto Rico, the US Virgin Islands, Guam, CNMI and American Samoa.

US Mainland

The 48 contiguous United States and the District of Columbia.

User

Anyone who uses or accesses any service provided by WCS under Customer’s Service Agreement, but excluding unauthorized parties that use or access a Service without Customer’s knowledge and after Customer has taken commercially reasonable steps to prevent such unauthorized access.
